Terms of Service

These terms govern your use of the services provided by MainGrid LLC (“MainGrid”, “we”, “us”), a Texas limited liability company. By creating an account or using the service, you agree to them. If you are agreeing on behalf of a business, you represent that you are authorised to bind it.

1. The service

MainGrid provides AI front-desk software for small businesses: a phone voice agent, an embeddable website chat widget, and messaging agents on WhatsApp, Facebook Messenger, and Instagram. The agent answers on your behalf using the configuration you provide, and can book appointments, take messages, and transfer calls.

2. Your account

You are responsible for the accuracy of your configuration, for keeping your credentials confidential, and for all activity under your account. Tell us promptly at [email protected] if you believe your account has been compromised.

3. Fees and billing

Fees are exclusive of taxes. Payments are processed by Stripe and are non-refundable except where required by law or expressly stated. Prices may change on 30 days' notice.

6. AI-generated responses

The agent is powered by third-party AI models. It can make mistakes, including stating something inaccurate. You are responsible for reviewing bookings and messages it produces, and for any commitment made to your customers. The service is a tool that assists your front desk; it is not a substitute for your own judgement.

7. Third-party services

The service depends on third-party providers — including AI model providers, telephony carriers, messaging platforms, a payment processor, and cloud hosting. Their availability, policies, and pricing are outside our control, and changes on their side may affect the service. We may change providers at any time without notice.

8. Your data

You retain ownership of your business data and your customers' data. You grant us the licence necessary to operate the service on your behalf. We handle personal information as described in our Privacy Policy. We do not use the contents of your conversations to train our own models.

9. Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, and may modify or discontinue features. We are not liable for missed calls or messages caused by outages at a carrier, platform, or AI provider.

10. Disclaimers

Except as expressly stated, the service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, MainGrid will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunity. Our total liability for any claim relating to the service will not exceed the amount you paid us in the three months before the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold MainGrid harmless from claims arising out of your use of the service, your content and configuration, or your breach of these terms or of applicable law — including call-recording, messaging, and telemarketing laws.

13. Termination

You may cancel at any time by contacting us. We may suspend or terminate an account for breach of these terms, non-payment, or conduct that puts the service or its providers at risk. On termination we will release any phone numbers we manage for you and handle your data as described in the Privacy Policy and Data Deletion pages. Unused prepaid credit is refundable on request, less amounts already incurred.

14. Changes to these terms

We may update these terms. We will change the “last updated” date and, for material changes, make reasonable efforts to notify account holders. Continued use after changes take effect constitutes acceptance.

15. Governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. The exclusive venue for disputes is the state and federal courts located in Travis County, Texas.
